Section A. Membership
Membership shall be open to property owners in the
community known as Cypress Landing, and to the Cypress Landing Marina Slip
Lessees for the duration of their leases.
Membership must be renewed annually based on the fiscal year,
January 1 through December 31.
Section
B. Classes of Membership
i.
There shall be two classes of membership:
Active and Honorary
ii. A membership in the Club
shall be a family membership. A family
membership
may consist of a head of household, his/her spouse,
children and other close relatives
who reside permanently with the householder, including dependent children
temporarily away from home. Tenants,
lodgers, roommates, persons sharing or other long-term houseguests are not
considered family members.
Section
C. Application
Each applicant for membership must complete the
appropriate application, including the agreement to comply with all the
provisions of the By-Laws as amended from time to time. Applications, including the Application Fee
and current year’s dues, are submitted to the Treasurer. The treasurer will
record the receipt of funds, deposit appropriately and forward the application
to the Secretary, who will verify eligibility in accordance with Section A,
Article III, and add the person to the distribution list. The Secretary will then send the application
on to the person in charge of membership who will issue a Membership Card to
the new Member.
Section D. Renewal
Members are required to submit an application form
annually along with dues to the Treasurer at the beginning of each fiscal year.
Section
E. Active Members
i. Active
Members in good standing shall be entitled to all privileges of the Club
and
shall have the right to vote and may hold office.
ii. Each Active Member in good standing shall be
entitled to one vote per family.
Voting
rights and eligibility to hold office shall be limited to the head of the
household or his/her spouse.
iii. An Active Member “in
good standing” is one who is current on dues, and who is not
suspended.
iv. Tenants
residing in Cypress Landing homes owned by Club Members in good
standing have the right to enjoy the Club as
Long-Term Guests of the Active Member,
subject to compliance with the procedures and conditions set forth in this
section, Section E, v. Long-Term guest
privileges shall be limited to one guest family per membership at any one time,
and may be extended for a period not to exceed two years.

Any
Club Member seeking to establish Long-Term Guest privileges for a tenant shall
apply to the Bridge in writing. During the term of the Long-Term Guest
privileges, the Club Member, not the guest, shall be required to pay all
dues and fees, and shall retain all voting rights. The Long-Term Guest shall be required to abide by all Club
rules.

The
Bridge may terminate the Long-Term Guest privileges if:
a. The Bridge determines
that the guest has been implicated in an
incident seriously injurious to the welfare of the Club.
b. The sponsoring Club
Member is suspended or expelled from the
Club, or
c. The sponsoring Club Member or guest fails to
comply with the
conditions of this Section, Section E, v.
Section F. Honorary Members.
i.
Honorary Members are elected by the Club. Those eligible for Honorary
Membership are persons or families
who, in exceptional circumstances, are con-
sidered to have rendered a service
of especial value or importance to the Club,
or whose association would be of
great benefit to the Club.
ii.
Recommendations for Honorary Membership shall be made in writing to the
Membership Committee, signed by five
Active Members in good standing.
Following review and endorsement by the Membership Committee, the
recommendation shall be forwarded to the Bridge who shall vote on its
ap-
proval for nomination. Two negative votes shall constitute
rejection.
iii. Upon approval by the Bridge,
the proposed nomination for Honorary
Membership shall be notified
to the Membership at least 30 days prior to the
Membership meeting, when it
will be considered. A two-thirds
majority vote
of those in good standing,
present and voting at the meeting, shall be required for
acceptance.
iv.
Honorary Members shall have all privileges of the Club but shall not have the
right to
vote or hold office, and shall be exempt from the payment of initiation
fees, annual dues, and
assessments.
v. Honorary
members may apply for Active Membership subject to the
provisions set out in pertinent sections of these
By-Laws. Honorary members will not be
required to pay the prevailing membership initiation fee or the current year’s
dues.
Section G. Termination, Suspension, and Expulsion
i. Termination
Membership
in the Cypress Landing Yacht Club shall be on an annual
basis,
consistent with the club’s fiscal year, i.e., January 1 - December 31.
Failure to renew by the terms set forward in Article
IV, Section C, will result in
removal from the rolls of the Cypress Landing Yacht Club. Terminated
members may reapply for membership by making application as a new member and by
paying dues and the prevailing membership initiation fee.
ii. Suspension
or Expulsion
On the
recommendation of the Bridge, any Active or Honorary member judged
to have been implicated in an incident seriously
injurious to the welfare of the Club may be suspended or expelled from the Club
by a two-thirds majority vote of the Bridge, after charges in writing, duly
signed, have been filed with the Secretary within thirty days of knowledge of
such alleged incident. The Secretary
will notify the member of the suspension or expulsion by mail.
Section H. Guests
Members shall be responsible for conduct and
indebtedness of their guests during use of
Yacht Club facilities and during participation in Yacht
Club activities.
Section I. Guest Privileges with Other Yacht Clubs
Active Members in good standing and Honorary Members
shall be entitled to guest
privileges established with other Yacht Clubs. Rules governing guest privileges shall
be proposed by the Bridge and adopted by a majority
vote of the Active Members in good standing at the meeting at which the rules
are proposed. Changes in such rules
will be made in the same manner.
Article
IV. DUES
AND ASSESSMENTS
Section
A. General
The amount of the Initiation Fees and dues and other
charges shall be proposed by the Bridge at a membership meeting of the Club or
at a special meeting called for that purpose. Notice of proposed dues,
initiation fees, or charges or any changes thereto, shall be mailed or
otherwise delivered to the membership, together with the time and place of the
next membership meeting when the vote will take place, at least fifteen days
prior to the meeting. A majority vote
of the Active Members in good standing and present at the meeting shall be necessary
for amendment or adoption.
Section
B. Initiation Fee
Membership initiation fees shall be submitted at the
time of application and are not refundable, unless the applicant is determined
to be ineligible for membership in accordance with Article II, in which case
the initiation fee will be returned to the applicant.
Section
C. Dues - Fiscal Year
Annual dues shall be effective on a fiscal year
basis. CLYC’s fiscal year will be the
calendar year (January 1 through December 31). Dues will cover the year for
which paid, regardless of when during the year they are paid. Annual renewal of
membership will commence with a general notification to the members the first
week of January with renewal payment due by February 8. Individual notices will
be mailed to members who fail to renew by February 17. Failure to renew by February 28 will result
in removal from the rolls of the Cypress Landing Yacht Club. If members renew
anytime after the February 28 date, the initiation fee must be paid along with
current dues. With the majority approval of the Bridge, these dates may be
changed if required by extraordinary circumstances.
Section
D. Assessments
An assessment must be proposed by the Bridge at a
membership or special meeting of the Club and notice must be given to the
membership at least 30 days before action thereon can be taken by the
Club. Notice must be sent to every
Active Member with the information on the purpose for the assessment and the
time and the place for meeting when the vote will take place. A two-thirds vote of the Active Members
present shall be necessary for adoption.
The manner of payment for assessments and other charges shall be
established at the time such charges are submitted to the membership for
approval.
ARTICLE
V. GENERAL MEMBERSHIP MEETINGS
Section A. Annual Meetings
The Cypress Landing Yacht Club will have at least
one meeting annually, and such other meetings as the membership or the Bridge
request. The annual meeting of
the Cypress Landing Yacht Club shall be held during the month of November at
the Bay Club. The Bridge may change
the date of the annual meeting to a time during October in the event of
extenuating circumstances.
Section
B. Special Meetings
Special meetings may be called by the Bridge for the
purpose of planning and conducting business of the Club. A special meeting may also be called upon a
request of at least ten Active Members in good standing by submitting such a
request in writing to the Secretary.
The purpose of the meeting must be stated in the request. No other Club
business may be conducted except that for which the meeting was called.
Section
C. Notices
The notice for the meeting shall state the time and
the place and the purpose/purposes for the meeting, unless it is an annual
meeting. Each special meeting shall be
held at a time and a place specified by the Bridge or the person(s) calling the
meeting. Written notice of the meeting
shall be provided not later than fifteen days prior to the meeting, unless
specified otherwise in these By-Laws.
Section
D. Quorum
At every meeting, for the transaction of any
business, a quorum shall consist of one-fifth of the Active Members in good
standing. Proxies will not be
allowed. If no quorum is present, the
presiding officer shall recess the meeting until a date decided by the Members
present.
ARTICLE
VI. NOMINATIONS/ELECTIONS
Section A. Nominations
The Commodore will appoint a nominating committee,
which may consist of the Bridge, to present a slate of nominees for the elected
officers at the annual meeting of the Cypress Landing Yacht Club. Nominations of officers for the next term of
office made by the nominating committee will be sent to the membership at least
thirty days in advance of the annual meeting.
Other nominations may be submitted by the membership at the annual
meeting.
Section
B. Elections
The election of officers will be at annual
meetings. The elected officers shall
hold office from January 1st for twelve months until the election of their
successors. In the event of a delay in
the time of the annual meeting, officers will continue to serve until replaced.
Section
C. Maximum term of Office
No
officer may serve more than two consecutive one-year terms in the same office.
Section D. Delegation of Officers’ Duties
In case of the absence or disability of an officer
of the Club, or for any other reason, the remaining officers may delegate the
powers or duties of any officer to any Active Member in good standing.
Section E. Resignations
If any office is vacated, with the exception of the
Commodore, a new officer will be appointed by the Bridge to fill the vacancy
until the next election of officers. In
the case of resignation of the Commodore, the Vice-Commodore will assume the
office until the next general election.
The Bridge shall appoint a new Vice-Commodore in this event.
ARTICLE
VII. BRIDGE (EXECUTIVE COMMITTEE)
Section A. General
The five elected officers, Commodore,
Vice-Commodore, Secretary, Rear Commodore, and Treasurer together with the
Committee Chairpersons of the Standing Committees, will collectively be
referred to as the “Bridge”. The Bridge
will serve as the Executive Committee for the Cypress Landing Yacht Club.
Section
B.
The Bridge will be the governing body of the Cypress
Landing Yacht Club.
Section
C.
The Bridge will prepare and present the annual
budget, the calendar of events, and the programs of this organization. The Bridge executes the desires of the
membership as voted by them.
Section
D.
The Bridge will conduct the business of the Cypress
Landing Yacht Club and make such decisions regarding budgets, policy,
activities, etc., as may be required.
Section
E.
The
Bridge will meet periodically at a time and a place determined by the
Commodore.
ARTICLE
VIII. OFFICERS AND DUTIES
Section A. Officers
The Cypress Landing Yacht Club shall have five
elected officers: Commodore, Vice-Commodore, Secretary, Rear Commodore, and
Treasurer.
Section B. Commodore
The
Commodore shall
·
serve
as principal officer of the Cypress Landing Yacht Club.
·
preside
at all meetings of the Cypress Landing Yacht Club and its Bridge.
·
appoint
Committee Chairpersons for all Standing Committees.
·
authorize
contracts and expenditures on behalf of the Club, limited to the approved
budget of the Club.
·
co-ordinate
the activities of the Marina Association Liaison Committee, the Nominating
Committee, and the Cypress Landing Yacht Club Webmaster.
Section C. Vice-Commodore
The
Vice-Commodore shall
·
assist
the Commodore in the discharge of all duties and will assume the functions and
the responsibilities of the Commodore in his/her absence or inability to serve.
·
co-ordinate
the activities of the Social Committee, the Community Outreach Committee, and
the Education Committee.
Section D. Secretary
The Secretary shall
·
be
the recipient of, and shall be responsible for, processing all Club
correspondence.
·
act
as custodian of, and responsible for preserving all Club records and documents.
·
keep
minutes of Bridge and membership meetings.
·
provide
notification of the time and the place of all membership meetings.
·
receive
and process applications for membership as stipulated in the By-Laws.
·
keep
posted on the Marina Lounge bulletin board a list of all the names and
telephone numbers of all members of the Bridge.
·
maintain
a list of all committee members.
·
co-ordinate
the activities of the Membership Committee.
Section E. Rear Commodore
The
Rear Commodore shall
·
co-ordinate
the activities of the Race Committee, the House Committee, the Newsletter
Committee, and the Fleet Committee.
Section F. Treasurer
The Treasurer shall
·
co-ordinate
the activities of the Budget/Planning Committee
·
receive
all accounts on behalf of the Club and deposit all funds in a bank account of
the Cypress Landing Yacht Club and retain deposit receipts.
·
maintain
all financial accounts of the Club and properly receive and disburse all funds.
as authorized by the Commodore/Vice Commodore.
No funds shall be disbursed in cash.
·
present
each member, upon request, a statement of his/her account, as prescribed by the
appropriate fee schedule.
·
receive
all new and renewal applications. Deposit funds and relay the applications to
the Secretary.
·
send
individual invoices to current members who fail to renew by February 8.
·
present
financial statements to the Bridge at regular meetings, the Annual meeting and
others deemed necessary by the Bridge (oversight).
ARTICLE
IX. LIABILITY OF OFFICERS
Each officer or former officers of the Cypress
Landing Yacht Club shall not be held liable for any reason due to the fact that
all efforts by the officers are voluntary and are for the benefit of the social
and boating activities of the Cypress Landing Yacht Club. This is to the extent permitted by the Not-for-Profit
Yacht Club Law of the State of North Carolina or other applicable law, as such
exists or may hereafter be adopted or amended.
ARTICLE
X. STANDING COMMITTEES
Section
A. General
The Commodore may designate from the Active
Membership in good standing, committees and one individual designated as the
Committee chairperson.
Section B. Membership Committee
A membership committee shall be responsible for the
recruitment of potential members of the
Cypress Landing Yacht Club, and for maintaining the
membership list, and other duties as designated by the Bridge.
Section C. Nominating Committee
A nominating committee appointed by the Commodore
will consist of not less than three persons chosen from among the Active
Members in good standing. The Commodore
shall designate one of the members as chairperson of this committee.
Section D. Other Standing Committees
Membership in other standing committees is open to
all Active Members in good standing.
Prospective committee members should make their interests known to the
Secretary or Committee Chairperson. The
other standing committees may consist of the following:

Planning and Budget
to coordinate the fiscal planning of all standing
committees and prepare/maintain the annual budget for membership approval, and
to arrange for annual oversight of the financial status of the Club, the
results of which will be presented to the membership at the Annual Meeting.
·
Social
to plan and coordinate shore activities of the Club
and ensure that a schedule of such activities is disseminated to the membership,
and provide liaison and coordination with the CLHOA for all activities of the
Cypress Landing Yacht Club.
·
Race
to plan and coordinate all race and regatta
activities and ensure that a schedule of such activities is disseminated to the
membership.
·
House
to maintain Club physical properties e.g., trophy
cases, burgees, event supplies, and grill equipment.
·
Education
to promote safety in boating and encourage
proficiency in all aspects of seamanship for Members and their families. Educational activities may be planned,
coordinated and executed in conjunction with other organizations.
·
Community Outreach
to encourage and coordinate joint activities of the
Club with other yacht clubs and boating associations in the region.
·
Marina (Association) Liaison
to represent the interest of
the Cypress Landing Yacht Club members to the management of the marina and to
coordinate activities of mutual interest.
·
Newsletter
to prepare and issue a periodic newsletter to the
Active and Honorary Membership of the Club and to other interested parties.
·
Fleet
to plan and coordinate water activities for the club
and with other boating groups and organizations.
·
Webmaster
to maintain, service and update the CLYC website
Section E.
Special Committees
Special committees may be established periodically
as needed to address special projects or topics that may arise affecting the
mission/purpose of the Club and requiring special talents to properly
resolve. Such committees shall be
established by the Commodore, or by vote of the Bridge based on a written
request signed by ten Members.
ARTICLE
XI. CORPORATE FINANCE
Section A. Cypress Landing Yacht
Club Funds
The funds of the Cypress Landing Yacht Club shall be
deposited in its name with such banks, trust companies, or other depositories
as the Commodore or Treasurer may designate.
All checks, notes, drafts, and other negotiable instruments of the Club
shall be signed by the Commodore or Treasurer.
No officers, agents, or employ of the Yacht Club, alone or with others,
shall have the power to make any checks, notes, drafts, or other negotiable
instruments in the name of the Yacht Club or to bind the Yacht Club thereby,
except as provided in the By-Laws.
Section B. Fiscal Year
The fiscal year of the Cypress Landing Yacht Club
shall commence January 1 and end the 31st of December unless
otherwise provided by the membership.
Section C. Gifts
The Commodore and Vice-Commodore, or any authorized
officer, employee, or agent of the Yacht Club may accept on behalf of the Yacht
Club any contribution, gift, bequest, or devise for any general or special
purpose(s) of the Yacht Club.
Section D. Income from Cypress Landing Yacht Club
Activities
All income from activities of the Yacht Club shall
be applied to the lawful activities of the Yacht Club.
Section E. Financial Review
The financial records of the Club shall be given an
audit and/or financial oversight by a third party CPA each year. The results shall be presented to the
membership at the Annual Meeting. Any
open issues are to be resolved by the end of December of the current year when
the accounts and records are turned over to the succeeding Treasurer.
ARTICLE
XII. BURGEES AND FLAGS
Section A. General
The Bridge shall propose and the membership adopt,
by a majority vote, the distinguishing signals and cap devices of the Club.
Section B. Form of Burgee
The Burgee of the Cypress Landing Yacht Club shall
be a pointed flag; length to be one and one-half the hoist.
Section C. Flags
All other flags shall conform to that as considered
appropriate in Charles F. Chapman’s Piloting, Seamanship & Small Boat
Handling book.
Section D. Use of Cypress Landing Yacht Club Burgee
Each Active and Honorary Member shall be presented
with a Cypress Landing Yacht Club
burgee upon acceptance to membership in the
Club. Members shall be permitted to fly
the Cypress Landing Yacht Club burgee on their own yacht and on any yacht for
which they are responsible, if they are Honorary Members or Active Members in
good standing.
ARTICLE
XIII. AMENDMENTS TO BY-LAWS
Section A. Effective Date
These by-laws shall take effect from the date of
their approval by two-thirds of the Active Members in good standing, present
and voting at a meeting of the Club, duly called.
Section B. Amendments
Proposed amendments must be made at a regular
membership meeting. They must be signed
by ten Active Members in good standing, and shall be submitted in writing to
the Secretary for information and review by the Bridge at least thirty (30)
days prior to the meeting at which they are to be proposed. The Secretary shall mail/email to each
Member a copy of the proposed amendment at least twenty (20) days prior to the
next meeting, advising of the time and the place of the membership meeting at
which the amendment will be voted on. A
two-thirds majority of the Active Members in good standing, present and voting
at a meeting of the Club, duly called, shall be necessary for adoption.
Membership Approval:
These revised By-Laws were approved by the
membership at the annual meeting on November 15, 2007.
